MCA Extends Due Date for Annual RoC Filing

As per the Companies Act 2013, all the companies are considered separate legal entities, which are governed by the provisions given in the Act. The Companies Act 2013 states that all companies are required to fulfill certain legal compliance annually, which are collectively known as Annual compliance of the private limited company or RoC filing.

In this regard, the Ministry of Corporate Affairs has provided relief to the directors of the companies. MCA has recently extended the due date of RoC filing forms for the annual compliance of private limited company.

1. How much has been the due date of RoC filing extended?

Ministry of Corporate Affairs has now extended the due date of RoC filing e-forms AOC-4, AOC (CFS) AOC-4 XBRL and MGT-7. Due dates for the filing of the said e-forms are given below-

RoC filing e-Forms	Due Date
AOC-4, AOC (CFS) AOC-4 XBRL	30^th November 2019
MGT-7	31^st December 2019

MCA has also relaxed the late annual compliance fee payable by the companies in case of late RoC filing.

2. Why has MCA extended the annual compliance due date?

In the wake of technical glitches faced in the filing of the RoC returns on MCA portal, the professionals had made requests to the government to further postpone the due date of the annual compliance of private limited company, without charging the additional or late fee of annual compliance.

Taking note of the constant representations from various stakeholders i.e. CA & CS professionals for the extension of due date for RoC filing, the Ministry of Corporate Affairs has now postponed the due date of filing, of financial statements of the financial year ending 31st March 2019 in e-form AOC-4 to 30^th November 2019 and the annual return in e-form MGT-7 to 31^stDecember 2019.

However, the late fee shall be applicable in case of delay in filing of RoC filing E-forms beyond the abovementioned due dates. It is advised to timely file the annual compliance forms to avoid the heavy penalty.
